Biz-Logo Affiliate Program: Affiliate Agreement.
GENERAL
By signing up as a Biz-Logo affiliate, you agree to all of the terms and conditions of the Biz-Logo Affiliate Agreement as outlined below.
This is an agreement between AJleRoux CC™ and the Biz-Logo.com affiliate. AJleRoux CC™ is the Biz-Logo.com parent company. This page constitutes the entire and sole agreement between AJleRoux CC™ and the affiliate. AJleRoux CC™ reserves the right to make changes to the affiliate agreement at any time and without notice. Failure to abide by the rules outlined in this agreement could result in account deletion with a complete forfeit of commissions.
INACTIVE ACCOUNTS
An inactive account is defined as an account that records no sales or referrals within a reasonable amount of time from account creation. The exact amount of time will be determined by AJleRoux CC™ and may range from one week to one year. Affiliates are urged to test their tracking within one week of account creation to ensure that the account is set up correctly and to ensure that at least one referral (clickthrough) is recorded within the first week.
Accounts with no sales for a period of 24 months will be considered inactive, even if referrals have been recorded during that time. Affiliates may request an extension of this period. As part of our program maintenance, Biz-Logo.com reserves the right to delete any account that has a $0 account balance.
Inactive accounts will be deleted from the system if the account balance is equal to or less than $50. If an inactive affiliate account has a balance greater than $50 but smaller than the affiliate's Payment Release Level, AJleRoux CC™ may charge a fee of $25 per month to the account. When the account balance reaches $0, the account will be deleted.
MONEY & PAYMENTS
Payments will be issued monthly, provided that the commission amount owing exceeds the Payment Release Level. Payments will be made via PayPal. If your PayPal account is suspended or inaccessible for whatever reason, AJleRoux CC™ will, within reason, attempt to make arrangements with you for the payment of your commissions. If such arrangements cannot be made, your commission will be carried forward to the next month. However, if we again are unable to make payment to you the following month due to a problem on your PayPal account, AJleRoux CC™ management reserves the right to delete your affiliate account with a complete forfeit of commissions. Keeping your PayPal account open and active is your responsibility and is a requirement for participation in the Biz-Logo Affiliate Program.
The minimum Payment Release Level is determined by AJleRoux CC™ and may be changed at any time without prior notice.
All statistics are collected and calculated by AJleRoux CC™, and will be the only valid statistics used for determining commissions.
Money credited to your account does not accrue interest.
In the event of a refund, Biz-Logo.com may recover from you the corresponding commission previously credited to your account. The refund commission will be deducted from your account balance. In the event that your account balance is less than the refund commission, the refund commission will be deducted against your future earnings. You will never be asked to send money to AJleRoux CC™.
MEMBERSHIP
Biz-Logo.com may reject an affiliate application if the accepting the application is not in the best interest of Biz-Logo.com, in the opinion and at the sole discretion of AJleRoux CC™ management.
Biz-Logo.com believes that a small, strong affiliate team is better than a large, ineffective one. Biz-Logo.com reserves the right to limit the number of affiliates in its affiliate program as well as the number of web sites referring business to it. Biz-Logo.com will be under no obligation to give advance warning should it decide to build limits into its affiliate program.
Although the aim is to have a long-term, mutually beneficial relationship with our affiliates, Biz-Logo.com reserves the right to terminate its affiliate program at any time, without advance warning, should that be in the best interest of Biz-Logo.com, in the opinion and at the sole discretion of AJleRoux CC™ management.
NOT ALLOWED:
- SPAM
- Links or banners in newsgroups
- Links or banners in chat rooms
- Links or banners in ICQ
- Links or banners in message boards
- Links or banners in banner networks
- Links or banners in hit farms
- Links or banners in guest books etc.
- Any placement of creative in a "Desktop" advertising scheme. This includes any and all 3rd party advertising platforms that use a desktop application to display ads in any form.
- Any display of a Biz-Logo window that is not the result of a direct click by the end-user.
- Any display of Biz-Logo logos, either from the Biz-Logo portfolio or the Biz-Logo pre-designed logos, on a site other than Biz-Logo.com.
AJleRoux CC™ reserves the right to delete any Referring Domain, at any time, from any affiliate's account. Domain deletion will usually happen when, in the opinion of AJleRoux CC™ management, the domain does not belong to the affiliate. AJleRoux CC™ is however under no obligation to give reasons when a domain is deleted or disallowed.
AJleRoux CC™ reserves the right to terminate an affiliate account with a complete forfeit of commissions if the affiliate, in the opinion and sole discretion of Biz-Logo management, is clearly attempting to take advantage of the Biz-Logo affiliate system in an unfair or dishonest manner, even if the method is not specifically mentioned in this agreement. We are 100% committed to honesty in every aspect of our business and explicitly reserve the right to choose not to work with affiliates who do not share this commitment. If an affiliate account is deleted, AJleRoux CC™ will be under no obligation to provide reasons for the decision. If an affiliate account is deleted, AJleRoux CC™ reserves the right to deny the affiliate future access to the Biz-Logo affiliate system.
AJleRoux CC™ reserves the right to terminate an affiliate account with a complete forfeit of commissions when such an affiliate account is, in the opinion of AJleRoux CC™ management, a threat to AJleRoux CC™, its credibility or its income. Any form of advertising or marketing that, in the opinion of AJleRoux CC™ management, is aimed at misleading potential Biz-Logo clients will result in summary deletion of the affiliate account with a complete forfeit of commissions. Similarly, any form of email marketing that, in the opinion of AJleRoux CC™ management, qualifies as SPAM or unsolicited mail will result in summary deletion of the affiliate account with a complete forfeit of commissions. We will DELETE your account and VOID your commissions on the FIRST offense of SPAMMING.
When an affiliate account is deleted, suspended, deactivated or changed, for any reason, AJleRoux CC™ will be under no obligation to the affiliate to provide advance warning or to provide reasons for the decision.
Fraud is a serious offense, and will be treated as such. Fraud is defined as (i) any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions, (ii) any attempt to steal or manufacture commissions and (iii) receiving commission for sales generated through a web site that does not legally belong to the affiliate. Any fraud or attempted fraud will be reported to the relevant authorities and will result in account deletion with a complete forfeit of commissions.
LINK PLACEMENT
As a Biz-Logo affiliate, you may place and remove links on your site(s) at your discretion. You may link to any page on the Biz-Logo.com domain without the need to seek special permission.
PRIVACY POLICY
AJleRoux CC™ may send e-mails to all Biz-Logo affiliates for the purposes of informing affiliates of changes or additions to the Affiliate Program, changes or additions to the Biz-Logo products and services and any communication that AJleRoux CC™ management deems necessary for the smooth and effective operation of the Biz-Logo Affiliate Program.
We use referrer information and cookies only for the purpose of tracking referrals and sales. No personally identifiable information of affiliates or customers is collected unless the affiliate or customer chooses to provide such information.
We will never sell or share your name, e-mail address, phone number, or any other personal information. We consider this information to be private, and will always treat it as such.
SECURITY
Each affiliate is solely responsible for maintaining the confidentiality of their account and for all usage and activity on their account, including use of the account by a third party authorized by the affiliate. Although every effort is made to maintain the security of the system, AJleRoux CC™ will accept no responsibility for compromised account details. Be sure to select a password that cannot be easily guessed and change your password frequently. Log into your account often and test the tracking for your domains to ensure that the account has not been compromised. Check your payment details often.
OWNERSHIP AND LICENSES
Affiliates are granted a non-exclusive, limited, revocable right to use Biz-Logo.com trademarks, banners and other images expressly made available for affiliate use. All images, technology and content provided for your use is and shall remain the sole property of AJleRoux CC™, and no part thereof shall be deemed assigned or licensed to you. All intellectual property rights, including trademarks, copyrights, patent rights or applications, trade names and service marks related to the foregoing shall remain the sole property of AJleRoux CC™, including rights in and to any derivatives thereof. You may not modify the trademarks, banners or any of the images provided to you in any way unless such changes have been approved by AJleRoux CC™
Any graphic design work produced by Biz-Logo, including logos and other designs displayed on the Biz-Logo.com web site, may under no circumstances be displayed on affiliate sites, not in their original or in any altered form.
LIMITED WARRANTY
TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, AJLEROUX CC™ DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, AJLEROUX CC™ DOES NOT WARRANTEE (A) THAT THE SERVICE WILL BE UNITERRUPTED, (B) THAT THE SERVICE WILL BE ERROR-FREE, (C) THAT DEFECTS WILL BE CORRECTED, (D) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS, (E) THAT TRACKING OF VISITORS AND SALES WILL BE ACCURATE, (F) THAT THE SECURITY MEASURES EMPLOYED WILL BE SUFFICIENT OR (G) THAT THE INFORMATION PROVIDED BY OR FOR THE BIZ-LOGO AFFILIATE PROGRAM WILL BE CORRECT, ACCURATE, COMPLETE OR RELIABLE. AJLEROUX CC™ WILL HAVE NO LIABILITY FOR UNAUTHORIZED ACCESS TO ACCOUNTS, THEFT OF AFFILIATE INFORMATION OR THEFT OF AFFILIATE COMMISSIONS. AJLEROUX CC™ SHALL HAVE NO LIABILITY FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL OR PUNATIVE DAMAGES EVEN IF AJLEROUX CC™ HAS BEEN NOTIFIED OF SUCH DAMAGES. ANY LIABILITY OF AJLEROUX CC™ IN JURISDICTIONS WHERE THESE LIMITATIONS OR EXCLUSIONS DO NOT APPLY SHALL BE LIMITED TO THE COMMISSIONS EARNED BY THE AFFILIATE AS A DIRECT RESULT OF THIS AGREEMENT.
LIMITED LIABILITY
AJLEROUX CC™ SHALL NOT BE LIABLE TO THE AFFILIATE OR ANY OTER PERSON FOR ANY DIRECT OR INDIRECT DAMAGE OR LOSS OF ANY NATURE OUT OF THE USE OF OR INABILITY TO USE THE BIZ-LOGO.COM WEB SITE OR THE BIZ-LOGO.COM AFFILIATE PROGRAM OR AFFILIATE TRACKING SYSTEM. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSION MAY NOT APPLY TO EVERY AFFILIATE. IN SUCH JURISDICTIONS, THE LIABILITY OF AJLEROUX CC™ WILL BE LIMITED TO THE SMALLEST AMOUNT PERMITTED BY LAW. THIS PARAGRAPH WILL SURVIVE THE FAILURE OF ANY EXCLUSIVE OR LIMITED REMEDY.
FORCE MAJEURE
Neither party shall be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes or any other cause which is beyond the reasonable control of such party.
JURISDICTION
This Agreement shall be governed by the laws of the Republic of South Africa. The exclusive forum for any actions brought in connection with this Agreement shall be in a court in the Republic of South Africa and you consent to such jurisdiction. The application of the United Nations Convention on the International Sale of Goods is expressly excluded.
